BY-LAWS OF THE SOUTH COBB HIGH SCHOOL BAND BOOSTER, INC.

ARTICLE I: IN ASSOCIATION

SECTION 1. The corporate name of the organization is SOUTH COBB HIGH SCHOOL BAND BOOSTER, INC,. Hereinafter referred to as the ASSOCIATION.

SECTION 2. The principal office and place of business of said Association shall be 1920 Clay Road, Austell, GA. 30082. The Association may establish and maintain an office or offices at such other places, either within or without the State of Georgia, as the Board of Directors may from time to time determine.

SECTION 3. The fiscal and budget year may begin at 12:01 A.M. on the first day of July and end at midnight on June 30. Should Federal regulations require the fiscal accounting year to be otherwise, the budget year will stay as indicated.

SECTION 4. The seal of the Association shall be in such form as the Board of Directors shall from time to time prescribe.

ARTICLE II: OBJECT AND PURPOSE

SECTION 1. The object and purpose of the Association shall be:

II: 1a To promote ways and means of providing for the needs of the SOUTH COBB HIGH SCHOOL BAND PROGRAM (which includes Marching Band, Color Guard, Winter Guard, Jazz Band, Concert Band, Percussion Ensemble and any other band ensembles to be determined) above those supplied by the Cobb County School System. The Association shall seek neither to direct the administrative activities of the band nor control its policies.

II: 1b To have but not limited to, all the rights, powers, privileges, and immunities now or hereafter given by law, or as now or hereafter may be enjoyed by a non-profit organization, as those enumerated above, and said powers are made hereof to the extent as if they were quoted herein.

SECTION 2. This Association shall not contemplate pecuniary gain or profit or distribution of profits or dividends to the members thereof.

SECTION 3. No officer, Director or member of this Association shall be liable for any of the debts of the Association, except as such party may personally endorse or guarantee such debt of the Association.

SECTION 4. This Association shall possess all the powers granted by law to any Association in the execution of its purposes described herein.

ARTICLE III: MEMBERSHIP

SECTION 1. All members of the concert, marching, and jazz bands, percussion ensemble, color guard and winter guard, auxiliary units, and all parents and/or guardians of such students are automatically members of the Association and are eligible for election to office of same. Each parent is allowed one vote on any issue brought to the general membership. The Board of Directors may establish reasonable dues to the active membership.

SECTION 2. Non-voting membership shall be open to anyone in the community interested in the development, promotion and supporting of The Band, its auxiliary, its activities and functions. The Board of Directors may establish reasonable dues to the active membership to members of the community, including alumni.

ARTICLE IV: BOARD OF DIRECTORS

SECTION 1. The Board of Directors shall consist of President, Vice President, Treasurer, Assistant Treasurer, Secretary and Committee Chairs. Members are defined as the position or title of the officers of the Association. Officer positions shall be held by and individual and shall not have a co-chair position. The Officers shall be elected by a plurality of the members of the Association present at the election meeting. The Committee Chairs shall be appointed by the President in conjunction with Band Directors and other officers.

SECTION 2. Members of the Board of Directors shall be officers of the Association described in ARTICLE V of these By-Laws. The Band Director(s) shall be non-voting ex-officio members.

SECTION 3. Each member of the Board of Directors shall have one vote and shall be a member in good standing with the Association (e.g. all dues up to date).

SECTION 4. The Board of Directors shall have the power and duty to recommend to the membership the establishment of policy and control of the operation of the Association, acting through the President, other officers and Board members.

SECTION 5. Term of Office. Directors shall hold office for a period of one (1) year, commencing July 1. No Director shall hold the same office for a period of longer than two (2) consecutive years. The newly and constituted Board of Directors shall be elected at the April meeting of the membership. The newly elected officers shall attend without a vote a joint Meeting of the Board of Directors along with the outgoing officers. This joint meeting shall be held after election and before June 1.

SECTION 6. Withdrawal of Student from Band. In the event a Board member’s student withdraws from the band program, the Board member may continue in their position until the end of their term in office or may resign.

ARTICLE V: OFFICERS

SECTION 1. The officers of this Association shall be the President, two (2) Vice-Presidents, Secretary, Treasurer, Assistant Treasurer, and Immediate Past President or Member at Large. The same person shall not hold two (or more) offices concurrently.

SECTION 2. The officers of this Association shall be involved in band (marching, concert, jazz), percussion, color, or winter guard activities. The Secretary shall have the capability of recording and maintaining accurate records of all meetings and membership. The Treasurer and Assistant Treasurer shall have a working knowledge of basic bookkeeping, or accounting procedures.

SECTION 3. The officers of the Association shall be elected by a plurality of the members of the Association present at the regular April meeting held in conjunction with Annual Band Banquet. Each officer shall hold office for one (1) year or until he or she is removed from the office, commencing July 1. Each officer can serve no more than two (2) consecutive terms.

SECTION 4. A vacancy in any office shall be filled by an election, held at the next regular meeting upon the occurrence of such vacancy, unless all of the offices become vacant by reason of a recall, in which event the vacancy shall be filled at the same meeting by which the vacancies were created. A vacancy exists when any officer resigns his, or her, office or is recalled by the members. (Recall procedures are described in ARTICLE IX of these by-laws).

ARTICLE VI. DUTIES OF THE OFFICERS

SECTION 1 ACCOUNTABILITY TO MEMBERSHIP-The President is accountable to the membership of the Association for the actions of the Board. The actions of the Board in the execution of their duties must therefore be accountable to the President.

SECTION 2 PRESIDENT -The President will preside at all meetings of the Association, the Executive Committee and the Board and will call meetings as provided in these By-laws. The President will be empowered to conduct the day-to-day business of the Association, so long as such acts are reported to the Board at its next meeting. Should any such action require a major expenditure of Association funds, such expenditure must have been included in the annual budget approved by the Membership. The President shall solicit and/or appoint members to various standing committees, including chair of those committees, with input from the Board of Directors. The President may also appoint ad hoc committees as deemed necessary.

SECTION 3 VICE PRESIDENT of OPERATIONS - The Vice President of Operations shall assist the President in the day-to-day business of the Association. The Vice President of Operations shall oversee day to day activities such as ensuring supervision during events including after school rehearsals, and support Uniform, Fundraising and Food committee chairs with staffing needs. Work with Band Director on transportation needs for all events.

SECTION 4 VICE PRESIDENT OF FUNDRAISING-The Vice President of Fundraising shall be responsible for the oversight of the planning, preparation, and completion of all organized and ad-hoc fundraising programs to include Football Game concessions, North Georgia State Fair, Tag Day, Pancake Day, DCI/DCA events including the naming of sub-Chairpersons of any fundraising event with approval from President; and assist the President in any way possible.

SECTION 4 SECRETARY-The Secretary will record the minutes of all meetings and proceedings of the Membership and the Board. The Secretary will have custody of the seal of the Association and will affix and attest the same to documents duly authorized by the Board. The Secretary will serve all notices for the Association which are authorized by the Board and will have charge of all books and records of the Association other than the financial records kept by the Treasurer. The Secretary will maintain all membership contact information (student and parent) and ensure all medical records and permission slips are up to date for all travel.

SECTION 5 TREASURER – The Treasurer shall be responsible for collecting and depositing all monies for the Boosters in an account designated by the Association. Keep an accurate record and detailed account of all receipts and expenditures, preserve all vouchers, receipts, statements, and cancelled checks according to IRS Codes. Submit a report at Executive Committee, Board of Directors, and General Meetings of the Band Boosters. This report should include balance on hand, deposits, and expenditures since the last meeting. Have care and custody of all funds, securities, and books of account of the Band Boosters. Disbursement from any such accounts of the Band Boosters shall be made at the direction of the Executive Board for the sole purpose of the financial support of the Band programs by means of checks signed by President and Treasurer. Reconcile monthly bank statements. Set up a system to account for money collected for the band. Monitor budget and keep the Board of Directors apprised. Prepare and submit annually the appropriate forms to IRS and State of Georgia. The Treasurer shall work with Board of Directors to establish annual budget and ensure Board adheres to said budget during fiscal year. All changes to budget must be brought to Board for approval.

SECTION 6 ASSISTANT TREASURER– The Assistant Treasurer shall include organization and oversight of, but not necessarily limited to assisting the Treasurer. The Assistant Treasurer shall be responsible for collecting and depositing all monies from the Fundraising Committee and all other committees in an account designated by the Band Boosters. Keep an accurate record and detailed account of all receipts and expenditures. Perform all other duties as assigned by the President.

SECTION 7 IMMEDIATE PAST PRESIDENT or MEMBER AT LARGE – The Immediate Past President shall serve in an advisory role to the Board and perform duties as assigned by the President. In the event, the Immediate Past President had a graduating senior the previous year, the individual can choose to resign, thereby leaving this position to be filled by a Member At Large elected by the general membership at the next monthly meeting.

ARTICLE VII COMMITTEES AND DIVISION OF RESPONSIBILITIES

SECTION 1 The Standing Committees of this Association shall be Fundraising, Uniforms, Communications/Marketing, Operations, Membership, Food (Friday Night Meals), Guard Liaison (Winter and Color), Concert and Jazz Band Liaison.

SECTIONS 2 Chairperson(s) The actions of the chairpersons of the Standing Committees in the execution of their duties are accountable to the president.

SECTION 3 Chairperson(s) duties The Chairpersons of the standing committees shall perform such duties as outlined in the Standing Rules of the Association and from time to time assigned by the President. The chairpersons shall attend all board meetings and give at least one report a month.

SECTION 4. Executive Committee - The Executive Committee shall be composed of the President, Vice Presidents, Secretary, Treasurer, and Assistant Treasurer. The South Cobb High School Band Director(s) and Committee Chairs shall be ex-officio members of the Executive Committee. The Executive Committee shall have full power to take action requiring expediency between regular Association meetings. Expenditure of funds by the Executive Committee between regular meetings for non-budgeted items shall be permissible. All actions taken by the Executive Committee between regular Association meetings shall be brought before the club members at the next regular meeting for their information. The incoming Executive Committee, in conjunction with the Band Director(s), shall be responsible for the proposed budget preparation for the upcoming club year. The proposed budget, in expenditure priority order, shall be presented to the Association membership after the installation of the incoming officers, at the regular May Association meeting for discussion and approval.

ARTICLE VIII NOMINATING COMMITTEE

SECTION 1 CHAIRPERSON The President and Band Director(s) will jointly select a member of the Association to serve as the Committee Chair.

SECTION 2 NOMINATING COMMITTEE The Nominating Committee will be formed for the purpose of nominating a new slate of officers and will perform its duties in accordance with the Standing Rules of the Association.

ARTICLE IX ELECTION OF OFFICERS

SECTION 1 PRESENTATION OF NOMINEES – The Chairperson of the Nominating Committee will present the Recommended Slate at the February general membership meeting. Nominations from the floor may be made during the February general membership meeting, with the prior consent of the nominee(s). Members who have contacted the Nominating Committee and volunteered to serve in a specific Board position but who do not appear on the Recommended Slate will be deemed to be nominations from the floor. Nominations will be closed at the February general membership meeting.

SECTION 2 ELECTIONS – Elections will be held at the April membership meeting and Annual Band Banquet. A plurality vote of members present and voting will constitute an election.

ARTICLE X MEETINGS

SECTION 1 – GENERAL MEETINGS – General Parent Membership meetings will be held on a regular schedule (i.e. every other month) with specific meetings in August, February and April. Notice of general meetings will be published by various communication efforts including but not limited to email, handouts, and Remind Me.

SECTION 2- EXECUTIVE COMMITTEE – Executive Committee meetings will be held at least monthly on a date conducive to the majority of the individuals. All Executive Committee meetings are open to general membership unless confidential material (such as specific discipline or parent financial matters) is to be discussed where notice will then be given that said meeting is closed to general membership.

SECTION 3 – STANDING COMMITTEE – Meetings of all committees will be held as necessary for the performance of the duties of each committee. The President is an ex-officio member of all committees and may cast the deciding vote if necessary.

SECTION 4 – All meetings will follow Robert’s Rules of Order when not inconsistent with these By-Laws and Standing Rules of the Association.

Article XI. RESIGNATION/REMOVAL/RECALL

SECTION 1 RESIGNATION- As set forth in the O.C.G.A., an officer may resign at any time by delivering written notice to the Association. A resignation is effective when the notice is received unless the notice specifies a future date. If resignation is made effective at a future date and the Association accepts the future effective date, the Board may fill the pending vacancy prior to the effective date if the Board stipulates that the successor does not take office until the effective date.

SECTION 2 REMOVAL BY THE BOARD - The Board may remove any Board member at any time with or without cause, by motion and majority secret ballot vote, at any meeting of the Board.

SECTION 3 RECALL BY THE MEMBERSHIP In the event a petition asking for a recall of any Board member and signed by at least one-third (1/3) of the current voting membership of the Association is delivered to the President, Vice President or the Secretary, the Membership will be notified of the recall petition at least seven (7) days prior to the next General Meeting, at which time a secret ballot vote will be held. If the vote is affirmative by a majority of the members present and voting, the officer(s) will be immediately recalled.

SECTION 4 RECALL OF THE ENTIRE BOARD In the event of a recall of the entire Board, the Band Director(s) as non-voting member(s) of the Board will preside over the election of a new slate of Board members at the same meeting.

Article XII. EQUIPMENT AND UNIFORM OWNERSHIP

Title to all equipment and uniforms purchased by or donated to the Association will be retained by the Association until such time as the Membership may elect to transfer ownership to the Cobb County Board of Education or to otherwise dispose of it as deemed necessary.

ARTILE XIII.SPHERE OF ACTIVITY

SECTION 1. For the purpose of definition, South Cobb High School shall be defined as “that high school, located at 1920 Clay Road, Austell, GA 30106, which academically supports the area which this school serves and which may from time to time be defined and designated by the Cobb County Board of Education.”

SECTION 2. In the event that the school should be closed, or change from an academic curriculum, the term SOUTH COBB HIGH SCHOOL, shall automatically apply to that school, or those schools, which absorb the students which this organization is avowed to support.

SECTION 3. In the event of circumstances stated in Section 2 of this Article, equipment and monies on hand shall be apportioned on a band student pro rata basis using a straight line method of depreciation for the purpose of computation of depreciated value of musical instruments on hand. If such circumstances result in the dissolution of the organization, this asset distribution will be in accord with sections of the USCA Internal Revenue Code relating the non-table transfers of such assets.

SECTION 4. Notwithstanding any other provision of these Articles, the corporation shall not carry on any activities not permitted to be carried on by (a) an organization exempt from Federal income tax under Section 501 (1) and 5018 (c)(3) of the Internal Revenue Code of 1954, or the corresponding provision of any future United States Revenue Law or (b) a corporation, contribution to which are deductible under Section 170 (c)(2) of the Internal Revenue Code of 1954 or any other corresponding provision of any future United States Internal Revenue Law.

ARTICLE XII: MISCELLANEOUS

SECTION 1. An annual financial review shall be performed by a party, not a member of the Board of Directors, but selected by the Board of Directors, and audits shall be conducted as required by law, or authorized by the Board of Directors.

SECTION 2. All members shall be requested to keep the Secretary informed as to their latest mailing address, e-mail address, and telephone number(s).

SECTION 3. At the meeting closing the fiscal year, the annual financial report of accomplishments shall be given by the Treasurer.

SECTION 4. Standing rules direct the administration of the organization. A standing rule can be added, deleted, or changed by a majority vote at a regular meeting of the membership. A list of the current standing rules will be attached to these by-laws.

Article XIII. AMENDMENTS

SECTION 1 Amending By-laws After review by the Board of Directors, the By-laws of the organization may be amended or appealed or new By-laws adopted only at a General Meeting by the affirmative vote of the majority of those members present and voting, and only after notification of proposed action shall have been given no less than 15 days prior to the General Meeting.

SECTION 2 By-law Validity The By-laws of this Association, to be held valid must not be in conflict with Federal or State Constitutions, or State or Federal laws, and any amendment or revisions of these By-laws will be referred for review and approval of legal counsel as required. Any portion of these By-laws which are, or become, in conflict with applicable laws, or regulations, shall be null and void and shall not affect the validity of the remaining By-laws.

STANDING RULES

I. Committee Responsibilities

a. Fundraising

i. Vice President of Fundraising shall chair the Fundraising committee. The Vice President may name coordinators and/or sub Chairpersons (e.g. Football Concessions Chair, DCI/DCA Chair) of any operational event or issue as necessary, and assist the President in any way possible.

ii. Be responsible for staffing volunteers and all necessary tasks needed to facilitate (purchase of food, equipment, etc.) is taken care of for all fundraising events including but not limited to concession stand for home football games, North Georgia State Fair, and Tag Day.

iii. Be responsible to solicit corporate sponsorship.

iv. Submit ideas and implement other fundraising activities upon approval by board (e.g. Chili’s Pancake Day).

b. Operations

i. Vice President of Operations shall chair the Operations Committee. The Vice President may name coordinators and/or sub Chairpersons of any operational event or issue as necessary, and assist the President in any way possible.

ii. Be responsible for the day to day activities such as providing supervision during after school rehearsals, ensuring the presence of equipment, including but not limited to trucks, vans, etc. for moving equipment and instruments to various activities, and shall maintain track of such equipment and instruments until safely stored back at South Cobb; coordinating the travel details for band trips, such as hotel accommodations, food, etc., and coordinate transportation to and from organization sponsored activities;.

iii. Be responsible for coordinating with Uniform and Food committee chairs to ensure all is in order (e.g. food ordered, uniforms in working condition) for events including but not limited to football games, concert performances, and band and guard competitions.

iv. Coordinate Annual Band Banquet in conjunction with Food Committee, President, and Band Directors.

c. Membership

i. Assist Band Director(s) in middle school recruitment and maintaining contact with alumni for purposes of financial and volunteer support.

ii. In conjunction with Band Director(s) shall be responsible for planning,

organizing, and implementing all aspects of band registration for all ensembles including advertisements, announcements, etc.

iii. Compile membership list and master volunteer list and ensure all accurate paperwork is collected and submitted to secretary.

iv. Maintain contact with color and winter guard, concert band and Jazz band members throughout the year and keep members informed of all Band/Color and Winter Guard activities.

d. Communications/Marketing

i. Be responsible for ensuring that the instrumental music program is brought to the attention of the public at large in such a manner as to reflect credit and pride upon the activities of the bands, guard, and the instrumental music program through local newspaper announcements, newsletters, email, web site, and other means; and through the sale of band merchandise; and assist the President in dissemination of weekly Sunday reminders by collecting information from committee members as needed and sending reminders when President is unable to do so.

e. Uniform

i. Be responsible for inventory, maintenance, issuance, and return of student attire (including, but not limited to uniforms, tuxedos, formal dresses, shoes) for all ensembles.

ii. Solicit volunteers as needed.

iii. Ensure all uniform needs are brought to the attention of the Executive Committee.

f. Food (Friday Night Meals)

i. Be responsible for coordinating and providing food for all football games and any other events that require feeding the ensembles.

ii. Solicit volunteers as needed.

iii. Coordinate the Annual Band Banquet in conjunction with Operations, President, and Band Directors.

g. Guard Liaison

i. Assist guard instructor and techs with color and winter guard as deemed appropriate and that which is not covered under another committee.

ii. Ensure appropriate communication is noted to Operations, Uniform or Food committee as well as President when needs from those committees are warranted.

h. Concert and Jazz Band Liaison

i. Assist Band Director(s) with concert and jazz band as deemed appropriate and that which is not covered under another committee.

ii. Ensure appropriate communication is noted to Operations, Uniform or Food committee as well as President when needs from those committees are warranted.

II. TREASURY GUIDELINES

a. Normal business guidelines will be followed in that a fee will be assessed on all NSF checks. After two NSF check occurrences, future payments may be required to be paid by certified funds for the remainder of the school year.

b. When a payment is received all outstanding student debts are cleared first.

c. The Treasurer(s) will issue statements on a monthly basis to those members who owe monies to the band program.

d. Hardships - the Treasurer(s) will present to the board known cases of hardship for a decision based on current hardship policy

e. All effort shall be made to have two signatures on checks, one of which is that of the Treasurer. If warranted, a check may have one signature, but that signature must be that of the Treasurer to ensure separation of duties and accountability of funds in the accounts.

i. Current practice has that only the President, Treasurer and Band Director has signature writing on the current accounts.

f. Use of debit card should be used in discretion. All receipts must be given to Treasurer.

g. All transactions should have a check request/debit request form to identify purpose of transaction. All forms must be given to Treasurer or Assistant Treasurer for proper record keeping for IRS.

III. SALARY GUIDELINES FOR STAFF

a. All salaries for hired instructional staff will be held confidentially with the Executive Committee

b. All salaries for staff must be an agreement between Executive Committee and Band Director(s) with Executive Committee having final approval and included in annual budget.

c. All salary agreements must have signed contract between staff and South Cobb Band Booster Club, Inc...

the debts of the Association, except as such party may personally endorse or guarantee

such debt of the Association.

SECTION 4. This Association shall possess all the powers granted by law to any

Association in the execution of its purposes described herein.

ARTICLE III: MEMBERSHIP

SECTION 1. All members of the concerts, marching, and jazz bands, percussion

ensemble, color guard and winter guard, auxiliary units, and all parents and/or

guardians of such students are automatically members of the Association and are

eligible for election to office of same. Each parent is allowed one vote on any issue

brought to the general membership. The Board of Directors may establish reasonable

dues to the active membership.

SECTION 2. Non-voting membership shall be open to anyone in the community

interested in the development, promotion and supporting of The Band, its auxiliary, its

activities and functions. The Board of Directors may establish reasonable dues to the

active membership to members of the community, including alumni.

ARTICLE IV: BOARD OF DIRECTORS

SECTION 1. The Board of Directors shall consist of President, Vice President, Treasurer,

Assistant Treasurer, Secretary of Records, Secretary of Marketing, and Committee

Chairs. Members are defined as the position or title of the officers of the Association.

Officer positions shall be held by and individual and shall not have a co-chair position.

The Officers shall be elected by a plurality of the members of the Association present at

the election meeting. The Committee Chairs shall be appointed by the President in

conjunction with Band Directors and other officers.

SECTION 2. Members of the Board of Directors shall be officers of the Association

described in ARTICLE V of these By-Laws. The Band Director(s) shall be non-voting

ex-officio members.

SECTION 3. Each member of the Board of Directors shall have one vote and shall be a

member in good standing with the Association (e.g. all dues up to date).

SECTION 4. The Board of Directors shall have the power and duty to recommend to the

membership the establishment of policy and control of the operation of the Association,

acting through the President, other officers and Board members.

SECTION 5. Term of Office. Directors shall hold office for a period of one (1) year,

commencing July 1. The sitting officer may continue to perform the duties of the

position, for an additional period of one (1) year, if voted by a plurality majority of

members, and under the condition the individual maintains a student active in the band

program. The newly and constituted Board of Directors shall be elected at the April

meeting of the membership. The newly elected officers shall attend without a vote a joint

Meeting of the Board of Directors along with the outgoing officers. This joint meeting

shall be held after election and before June 1.

SECTION 6. Withdrawal of Student from Band. In the event a Board member’s student

withdraws from the band program, the Board member may continue in their position

until the end of their term in office or may resign.

ARTICLE V: OFFICERS

SECTION 1. The officers of this Association shall be the President, two (2)

Vice-Presidents, Secretary of Records, Secretary Marketing, Treasurer, Assistant

Treasurer, and Immediate Past President or Member at Large. The same person shall not

hold two (or more) offices concurrently.

SECTION 2. The officers of this Association shall be involved in band (marching, concert,

jazz), percussion, or color, guard activities. The Secretary of Records shall have the

capability of recording and maintaining accurate records of all meetings and

membership, and shall have basic knowledge of applications such as Microsoft Word and

Excel. The Secretary of Marketing shall have working knowledge and skill in social

media, basic marketing, and basic website management. The Treasurer and Assistant

Treasurer shall have a working knowledge of basic bookkeeping, or accounting

procedures.

SECTION 3. The officers of the Association shall be elected by a plurality of the members

of the Association present at the regular April meeting. Each officer shall hold office for

one (1) year or until he or she is removed from the office, commencing July 1. The siting

officer may serve one (1) additional term if voted by members and the individual has a

student active in the band program.

SECTION 4. A vacancy in any office shall be filled by an election, held at the next regular

meeting upon the occurrence of such vacancy, unless all of the offices become vacant by

reason of a recall, in which event the vacancy shall be filled at the same meeting by which

the vacancies were created. A vacancy exists when any officer resigns his, or her, office or

is recalled by the members. (Recall procedures are described in ARTICLE IX of these

by-laws).

ARTICLE VI. DUTIES OF THE OFFICERS

SECTION 1 ACCOUNTABILITY TO MEMBERSHIP-The President is accountable to the

membership of the Association for the actions of the Board. The actions of the Board in

the execution of their duties must therefore be accountable to the President.

SECTION 2 PRESIDENT -The President will preside at all meetings of the Association,

the Executive Committee and the Board and will call meetings as provided in these

By-laws. The President will be empowered to conduct the day-to-day business of the

Association, so long as such acts are reported to the Board at its next meeting. Should

any such action require a major expenditure of Association funds, such expenditure

must have been included in the annual budget approved by the Membership. The

President shall solicit and/or appoint members to various standing committees,

including chair of those committees, with input from the Board of Directors. The

President may also appoint ad hoc committees as deemed necessary.

SECTION 3 VICE PRESIDENT of OPERATIONS - The Vice President of Operations shall

assist the President in the day-to-day business of the Association. The Vice President of

Operations shall oversee day to day activities such as ensuring supervision during events

including after school rehearsals, and support Uniform, Fundraising and Food

committee chairs with staffing needs. Work with Band Director on transportation needs

for all events.

SECTION 4 VICE PRESIDENT OF FUNDRAISING-The Vice President of Fundraising

shall be responsible for the oversight of the planning, preparation, and completion of all

organized and ad-hoc fundraising programs to include Football Game concessions,

Taste of Mableton Parade & Festival, Battle of the Bands events, Senior Night & Eighth

Grade Night, DCI/DCA events including the naming of sub-Chairpersons of any

fundraising event with approval from President; and assist the President in any way

possible.

SECTION 5 SECRETARY of Records -The Secretary will record the minutes of all

meetings and proceedings of the Membership and the Board. The Secretary will have

custody of the seal of the Association and will affix and attest the same to documents

duly authorized by the Board. The Secretary will serve all notices for the Association

which are authorized by the Board and will have charge of all books and records of the

Association other than the financial records kept by the Treasurer. The Secretary will

maintain all membership contact information (student and parent), student member

group assignment, clothing sizes and uniform assignments, and ensure all medical

records and permission slips are up to date for all travel.

Section 6 Secretary of Marketing-The Secretary shall assume custody of all web and

social content pertaining to band and booster branding and marketing. The Secretary

shall be held responsible for website (www.southcobbband.com) updates and upkeep.

The Secretary shall head the student lead South Cobb Band Social Media Group in the

creation and sharing of band and booster related content. To be included are event and

fundraiser promotion, band highlights, exclusive band content, and informational

content. The Secretary shall ensure rules and regulations regarding online safety are

followed.

SECTION 7 TREASURER – The Treasurer shall be responsible for collecting and

depositing all monies for the Boosters in an account designated by the Association. Keep

an accurate record and detailed account of all receipts and expenditures, preserve all

vouchers, receipts, statements, and cancelled checks according to IRS Codes. Submit a

report at Executive Committee, Board of Directors, and General Meetings of the Band

Boosters. This report should include balance on hand, deposits, and expenditures since

the last meeting. Have care and custody of all funds, securities, and books of account of

the Band Boosters. Disbursement from any such accounts of the Band Boosters shall be

made at the direction of the Executive Board for the sole purpose of the financial support

of the Band programs by means of checks signed by President and Treasurer. Reconcile

monthly bank statements. Set up a system to account for money collected for the band.

Monitor budget and keep the Board of Directors apprised. Prepare and submit annually

the appropriate forms to IRS and State of Georgia. The Treasurer shall work with Board

of Directors to establish annual budget and ensure Board adheres to said budget during

fiscal year. All changes to budget must be brought to Board for approval.

SECTION 8 ASSISTANT TREASURER– The Assistant Treasurer shall include

organization and oversight of, but not necessarily limited to assisting the Treasurer. The

Assistant Treasurer shall be responsible for collecting and depositing all monies from the

Fundraising Committee and all other committees in an account designated by the Band

Boosters. Keep an accurate record and detailed account of all receipts and expenditures.

Perform all other duties as assigned by the President.

SECTION 9 IMMEDIATE PAST PRESIDENT or MEMBER AT LARGE – The Immediate

Past President shall serve in an advisory role to the Board and perform duties as

assigned by the President. In the event, the Immediate Past President had a graduating

senior the previous year, the individual can choose to resign, thereby leaving this

position to be filled by a Member At Large elected by the general membership at the next

monthly meeting.

ARTICLE VII COMMITTEES AND DIVISION OF RESPONSIBILITIES

SECTION 1 The Standing Committees of this Association shall be Fundraising,

Uniforms, Parade/Competition, Online Content/Marketing, Operations, Membership,

Concessions, Meals/Food, Color Guard Liaison, Concert, Band Managers, and Sectional

Parent Liaison.

SECTIONS 2 Chairperson(s) The actions of the chairpersons of the Standing Committees

in the execution of their duties are accountable to the president.

SECTION 3 Chairperson(s) duties The Chairpersons of the standing committees shall

perform such duties as outlined in the Standing Rules of the Association and from time

to time assigned by the President. The chairpersons shall attend all board meetings and

give at least one report a month.

SECTION 4. Executive Committee - The Executive Committee shall be composed of the

President, Vice Presidents, Secretary of Records, Secretary of Marketing, Treasurer, and

Assistant Treasurer. The South Cobb High School Band Director(s) and Committee

Chairs shall be ex-officio members of the Executive Committee. The Executive

Committee shall have full power to take action requiring expediency between regular

Association meetings. Expenditure of funds by the Executive Committee between

regular meetings for non-budgeted items shall be permissible. All actions taken by the

Executive Committee between regular Association meetings shall be brought before the

club members at the next regular meeting for their information. The incoming Executive

Committee, in conjunction with the Band Director(s), shall be responsible for the

proposed budget preparation for the upcoming club year. The proposed budget, in

expenditure priority order, shall be presented to the Association membership after the

installation of the incoming officers, at the regular May Association meeting for

discussion and approval.

ARTICLE VIII NOMINATING COMMITTEE

SECTION 1 CHAIRPERSON The President and Band Director(s) will jointly select a

member of the Association to serve as the Committee Chair.

SECTION 2 NOMINATING COMMITTEE The Nominating Committee will be formed for

the purpose of nominating a new slate of officers and will perform its duties in

accordance with the Standing Rules of the Association.

ARTICLE IX ELECTION OF OFFICERS

SECTION 1 PRESENTATION OF NOMINEES – The Chairperson of the Nominating

Committee will present the Recommended Slate at the April general membership

meeting. Nominations from the floor may be made during the April general

membership meeting, with the prior consent of the nominee(s). Members who have

contacted the Nominating Committee and volunteered to serve in a specific Board

position but who do not appear on the Recommended Slate will be deemed to be

nominations from the floor. Nominations will be closed at the April general membership

meeting.

SECTION 2 ELECTIONS – Elections will be held at the April membership meeting and

Annual Band Banquet in May. A plurality vote of members present and voting will

constitute an election.

ARTICLE X MEETINGS

SECTION 1 – GENERAL MEETINGS – General Parent Membership meetings will be

held on a regular schedule (i.e. every other month) with specific meetings in August,

February and April. Notice of general meetings will be published by various

communication efforts including but not limited to SMS text message via CutTime,

handouts, and BAND App postings.

SECTION 2- EXECUTIVE COMMITTEE – Executive Committee meetings will be held at

least monthly on a date conducive to the majority of the individuals. All Executive

Committee meetings are open to general membership unless confidential material (such

as specific discipline or parent financial matters) is to be discussed where notice will

then be given that said meeting is closed to general membership.

SECTION 3 – STANDING COMMITTEE – Meetings of all committees will be held as

necessary for the performance of the duties of each committee. The President is an

ex-officio member of all committees and may cast the deciding vote if necessary.

SECTION 4 – All meetings will follow Robert’s Rules of Order when not inconsistent with

these By-Laws and Standing Rules of the Association.

Article XI. RESIGNATION/REMOVAL/RECALL

SECTION 1 RESIGNATION- As set forth in the O.C.G.A., an officer may resign at any

time by delivering written notice to the Association. A resignation is effective when the

notice is received unless the notice specifies a future date. If resignation is made

effective at a future date and the Association accepts the future effective date, the Board

may fill the pending vacancy prior to the effective date if the Board stipulates that the

successor does not take office until the effective date.

SECTION 2 REMOVAL BY THE BOARD - The Board may remove any Board member at

any time with or without cause, by motion and majority(two-thirds or more) secret ballot

vote, at any meeting of the Board. The motion must be brought before the Board to

remove the individual at a meeting of the Board and discussed thoroughly before a vote

is cast. The Board member will then be notified of the vote and decision. The Secretary

shall keep a detailed record of the removal proceedings.

SECTION 3 RECALL BY THE MEMBERSHIP In the event a petition asking for a recall of

any Board member and signed by at least one-third (1/3) of the current voting

membership of the Association is delivered to the President, Vice President or the

Secretary, the Membership will be notified of the recall petition at least seven (7) days

prior to the next General Meeting, at which time a secret ballot vote will be held. If the

vote is affirmative by a majority(two-thirds or more) of the members present and voting,

the officer(s) will be immediately recalled.

SECTION 4 RECALL OF THE ENTIRE BOARD In the event of a recall of the entire Board,

the Band Director(s) as non-voting member(s) of the Board will preside over the election

of a new slate of Board members at the same meeting.

Article XII. EQUIPMENT AND UNIFORM OWNERSHIP

Title to all equipment and uniforms purchased by or donated to the Association will be

retained by the Association until such time as the Membership may elect to transfer

ownership to the Cobb County Board of Education or to otherwise dispose of it as

deemed necessary.

ARTILE XIII.SPHERE OF ACTIVITY

SECTION 1. For the purpose of definition, South Cobb High School shall be defined as

“that high school, located at 1920 Clay Road, Austell, GA 30106, which academically

supports the area which this school serves and which may from time to time be defined

and designated by the Cobb County Board of Education.”

SECTION 2. In the event that the school should be closed, or change from an academic

curriculum, the term SOUTH COBB HIGH SCHOOL, shall automatically apply to that

school, or those schools, which absorb the students which this organization is avowed to

support.

SECTION 3. In the event of circumstances stated in Section 2 of this Article, equipment

and monies on hand shall be apportioned on a band student pro rata basis using a

straight line method of depreciation for the purpose of computation of depreciated value

of musical instruments on hand. If such circumstances result in the dissolution of the

organization, this asset distribution will be in accord with sections of the USCA Internal

Revenue Code relating the non-table transfers of such assets.

SECTION 4. Notwithstanding any other provision of these Articles, the corporation shall

not carry on any activities not permitted to be carried on by (a) an organization exempt

from Federal income tax under Section 501 (1) and 5018 (c)(3) of the Internal Revenue

Code of 1954, or the corresponding provision of any future United States Revenue Law or

(b) a corporation, contribution to which are deductible under Section 170 (c)(2) of the

Internal Revenue Code of 1954 or any other corresponding provision of any future United

States Internal Revenue Law.

ARTICLE XIV: MISCELLANEOUS

SECTION 1. An annual financial review shall be performed by a party, not a member of

the Board of Directors, but selected by the Board of Directors, and audits shall be

conducted as required by law, or authorized by the Board of Directors.

SECTION 2. All members shall be requested to keep the Secretary informed as to their

latest mailing address, e-mail address, and telephone number(s).

SECTION 3. At the meeting closing the fiscal year, the annual financial report of

accomplishments shall be given by the Treasurer.

SECTION 4. Standing rules direct the administration of the organization. A standing

rule can be added, deleted, or changed by a majority vote at a regular meeting of the

membership. A list of the current standing rules will be attached to these by-laws.

Article XIIV. AMENDMENTS

SECTION 1 Amending By-laws After review by the Board of Directors, the By-laws of the

organization may be amended or appealed or new By-laws adopted only at a General

Meeting by the affirmative vote of the majority of those members present and voting,

and only after notification of proposed action shall have been given no less than 15 days

prior to the General Meeting.

SECTION 2 By-law Validity The By-laws of this Association, to be held valid must not be

in conflict with Federal or State Constitutions, or State or Federal laws, and any

amendment or revisions of these By-laws will be referred for review and approval of legal

counsel as required. Any portion of these By-laws which are, or become, in conflict with

applicable laws, or regulations, shall be null and void and shall not affect the validity of

the remaining By-laws.

STANDING RULES

I. Committee and Band Manager Responsibilities (Band Managers, existent as a student

committee independently, operate in conjunction with and in collaboration with every

other committee listed.)

a. Fundraising

i. Vice President of Fundraising shall chair the Fundraising committee. The Vice

President may name coordinators and/or sub Chairpersons (e.g. Football Concessions

Chair, DCI/DCA Chair) of any operational event or issue as necessary, and assist the

President in any way possible.

ii. Be responsible for staffing volunteers and all necessary tasks needed to facilitate

(purchase of food, equipment, etc.) is taken care of for all fundraising events including

but not limited to concession stand for home football games, Taste of Mableton Parade

and Festival, Senior Night, Eighth Grade Night, Battle of the Bands.

iii. Be responsible to solicit corporate sponsorship.

iv. Submit ideas and implement other fundraising activities upon approval by board (e.g.

Chili’s Pancake Day).

b. Operations

i. Vice President of Operations shall chair the Operations Committee. The Vice President

may name coordinators and/or sub Chairpersons of any operational event or issue as

necessary, and assist the President in any way possible.

ii. Be responsible for the day to day activities such as providing supervision during after

school rehearsals, ensuring the presence of equipment, including but not limited to

trucks, vans, etc. for moving equipment and instruments to various activities, and shall

maintain track of such equipment and instruments until safely stored back at South

Cobb; coordinating the travel details for band trips, such as hotel accommodations, food,

etc., and coordinate transportation to and from organization sponsored activities;.

iii. Be responsible for coordinating with Uniform and Food committee chairs, and Band

Managers to ensure all is in order (e.g. food ordered, uniforms in working condition) for

events including but not limited to football games, concert performances, and band and

guard competitions.

iv. Coordinate Annual Band Banquet in conjunction with Food Committee, President,

and Band Directors.

c. Membership

i. Assist Band Director(s) and Secretary of Marketing in middle school recruitment and

maintaining contact with alumni for purposes of financial and volunteer support.

ii. In conjunction with Band Director(s) and Secretaries of Records & Marketing shall be

responsible for planning, organizing, and implementing all aspects of band registration

for all ensembles including advertisements, announcements, etc.

iii. Compile membership list and master volunteer list and ensure all accurate

paperwork is collected and submitted to Secretary of Records.

iv. Maintain contact with color guard, concert band and Jazz band members throughout

the year and keep members informed of all Band/Color Guard activities.

d. Online Content/Marketing

i. Be responsible for ensuring that the instrumental music program is brought to the

attention of the public at large in such a manner as to reflect credit and pride upon the

activities of the bands, guard, and the instrumental music program through local

newspaper announcements, newsletters, email, web site, social media, and other

means; and through the sale of band merchandise; and assist the President or Secretary

of Marketing in dissemination of weekly Sunday reminders by collecting information

from committee members as needed and sending reminders when President or

Secretary of Marketing is unable to do so.

e. Uniform

i. Be responsible for inventory, maintenance, issuance, and return of student attire

(including, but not limited to uniforms, tuxedos, formal dresses, shoes) for all

ensembles.

ii. Solicit volunteers as needed.

iii. Ensure all uniform needs are brought to the attention of the Executive Committee.

f. Meals/Food

i. Be responsible for coordinating and providing food for all football games and any other

events that require feeding the ensembles.

ii. Solicit volunteers as needed.

iii. Coordinate the Annual Band Banquet in conjunction with Operations, President,

Band Managers, and Band Directors.

g. Color Guard Liaison

i. Assist guard instructor and techs with color and winter guard as deemed appropriate

and that which is not covered under another committee.

II. TREASURY GUIDELINES

a. Normal business guidelines will be followed in that a fee will be assessed on all NSF

checks. After two NSF check occurrences, future payments may be required to be paid by

certified funds for the remainder of the school year.

b. When a payment is received all outstanding student debts are cleared first.

c. The Treasurer(s) will issue statements on a monthly basis to those members who owe

monies to the band program by way of SMS message via CutTime containing a link to

member account financials run by Stripe payment services.

d. Hardships - the Treasurer(s) will present to the board known cases of hardship for a

decision based on current hardship policy.

e. All effort shall be made to have two signatures on checks, one of which is that of the

Treasurer. If warranted, a check may have one signature, but that signature must be that

of the Treasurer to ensure separation of duties and accountability of funds in the

accounts.

III. SALARY GUIDELINES FOR STAFF

a. All salaries for hired instructional staff will be held confidentially with the Executive

Committee

b. All salaries for staff must be an agreement between Executive Committee and Band

Director(s) with Executive Committee having final approval and included in annual

budget.

c. All salary agreements must have signed contract between staff and South Cobb Band

Booster Club, Inc...

i. President, in conjunction with Band Director(s) are responsible for ensuring contract

is signed and on file. Contract must have President, Band Director, and staff member file. Contract must have President, Band Director, and staff member signature.
